Your access and use of this Site, including the content, materials and information available on or through this website (together, the “materials”), constitutes your acceptance and agreement to be bound by these terms and conditions of use (“Terms of Use”). By using this website, you acknowledge that you have read and agree to these terms. If you do not consent to be bound by these Terms of Use, please discontinue your access and do not use this Site.
2. In case of any violation of these Terms of Use, Motion Ventures reserves the right to seek all remedies available under the law and in equity for such violations. These Terms of Use apply in respect of any and all visits to this Site, both now and in the future.

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Singapore, and you agree to submit to the non-exclusive jurisdiction of the courts of Singapore. If it is illegal or prohibited in your country of origin to access or use this website, then you should not do so. You are accessing the website on your own initiative and are responsible for compliance with all local laws and regulations applicable to you.

WHO WE ARE
Motion Intelligence is operated by Motion Ventures Management Pte Ltd (“Motion”, “we”, “us”, “our”) in Singapore.
AGREEMENT AND ACCEPTANCE
By creating an account, accessing, or using Motion Intelligence (the “Service”), you agree to these Terms of Service (the “Terms”). If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.
DEFINITIONS
4.1 “Input” means any information you or your authorised users submit to the Service (e.g., maritime topic, answers to follow-up questions, text, files, links, instructions).
4.2 “Output” means any content generated by the Service in response to Input (e.g., a thesis presentation deck, analysis, summaries, suggested companies/solutions, or comparable materials).
4.3 “Content” means Input and Output collectively.
4.4 “Third-Party Services” means third-party software, tools, content sources, websites, datasets, or services that may be used with or within the Service.
4.5 "Third-Party Output" means content in Output that originates from Third-Party Services (e.g., cited extracts, metadata, or linked material).
ELIGIBILITY AND ACCOUNT REGISTRATION
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
You must provide accurate and complete registration information and keep it current.
YOUR RESPONSIBILITIES
You are responsible for:
all activity under your account and maintaining account security;
ensuring you have all rights, permissions, and lawful basis to provide Input;
reviewing Output before relying on it.
ACCEPTABLE USE
You must not, and must not allow others to:
use the Service for unlawful, fraudulent, or harmful purposes;
upload Input that infringes intellectual property, confidentiality, privacy, or other rights
submit personal data of another individual unless you have the right to do so and have provided required notices/obtained consent;
reverse engineer, decompile, or attempt to discover the source code, underlying models, prompts, or system design (except to the extent prohibited by law);
circumvent rate limits, safety mitigations, access controls, or other protective measures;
scrape, harvest, or extract data (including Output) at scale by automated means except as explicitly permitted;
represent that Output was human-generated when it was not (where doing so would mislead others);
use the Service or Output to develop competing AI models or services.
We may monitor for abuse, security, and policy compliance (see Privacy Policy for how data is handled).
CONTENT OWNERSHIP AND LICENCES
Your ownership of Input; Output rights
As between you and Motion:
you retain your rights in Input; and
to the extent permitted by law, you own Output.
10. Similarity of Output
Due to the nature of AI systems, Output may not be unique, and other users may receive similar output. Your rights in Output do not extend to output generated for others or to Third-Party Output.
. Licence you grant to Motion
You grant Motion a limited, worldwide, non-exclusive licence to host, store, reproduce, process, and transmit Content solely to:
provide and operate the Service;
maintain, secure, and troubleshoot the Service;
enforce these Terms and prevent abuse;
comply with law and lawful requests.
. Feedback
If you provide feedback, you grant Motion the right to use it without restriction or compensation.
THIRD-PARTY SERVICES AND THIRD-PARTY OUTPUT
. The Service may include or rely on Third-Party Services and may generate Third-Party Output. Third-Party Services and Third-Party Output are subject to their own terms, and Motion is not responsible for them.
CONFIDENTIALITY AND SENSITIVE INFORMATION
. Do not submit information you consider highly sensitive (e.g., secrets you cannot risk disclosing) unless you have assessed and accepted the risks described in these Terms and the Privacy Policy.
ACCURACY, VERIFICATION, AND PROFESSIONAL JUDGEMENT
. You agree that:
Output may not always be accurate and must not be treated as a sole source of truth;
you must evaluate Output for accuracy and appropriateness, including human review where appropriate;
Output may include incomplete, incorrect, or offensive content and does not represent Motion’s views.
NO OFFER, SOLICITATION, OR INVESTMENT ADVICE
. The Service and all Output are provided for general informational purposes only.
. Nothing in the Service or Output constitutes:
an offer or solicitation to buy or sell any security or other asset;
investment advice or a recommendation;
a promise/undertaking to invest or provide financing; or
a basis for making any investment decision without independent verification.
. The Service does not provide financial advisory services regulated under the Financial Advisers Act (Cap. 110) of Singapore or any equivalent law. Users are responsible for obtaining independent professional advice before making any investment or commercial decisions.
. We may offer beta or preview features. Beta features are provided “as is” and may be changed or discontinued at any time.
SUSPENSION AND TERMINATION
. We may suspend or terminate your access to the Service immediately if we reasonably believe you have:
violated these Terms;
created risk or potential legal exposure for Motion or others;
used the Service in a way that threatens security or availability.
. You may stop using the Service at any time, deletion effects are described in the Privacy Policy.
DISCLAIMER OF WARRANTIES
. To the maximum extent permitted by law, the Service and Output are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory.
LIMITATION OF LIABILITY
. To the maximum extent permitted by law:
Motion will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data.
INDEMNITY
. If you are a business or organisation, you will indemnify and hold harmless Motion, its affiliates, and personnel from third-party claims arising out of:
your use of the Service or Content; or
your violation of these Terms or applicable law.
CHANGES TO THE SERVICE AND THESE TERMS
. We may update the Service from time to time. If we make material changes, we will take reasonable steps to provide notice before the changes take effect, except where changes are required urgently for legal or security reasons.
SEVERABILITY
. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions will remain in full force and effect.
GOVERNANCE LAW AND DISPUTES
. These Terms are governed by the laws of Singapore. You agree to submit to the non-exclusive jurisdiction of the courts of Singapore.
